Agreement To These Terms

By accessing or using Prospect Engine, you agree to these Terms of Service and the applicable laws and regulations that govern your use of the service. If you do not agree, do not use the service.

Service Description

Prospect Engine provides proof-driven lead intelligence for outbound teams. The service generates fresh decision-makers on demand and may include verified emails when found, sourced reasons-to-call, public proof URLs, and related context fields designed to help teams act on timing and proof.

Commercial Terms

• Pricing and commercial terms are the ones shown on the site or at checkout when you buy.
• Payments are processed through Stripe or another approved payment provider.
• Leads count when they are exported or synced under the workflow rules in effect at purchase time.
• Lead outputs may include decision-maker details, verified email when found, sourced reason-to-call, public proof URL, and related context fields.
• Prospect Engine guarantees data quality as described on the Quality Guarantee page. It does not guarantee replies, meetings, pipeline, or revenue.

Your Responsibilities

• Provide accurate company information, targeting inputs, and account details.
• Protect your login credentials and account access.
• Use lead outputs only for legitimate business purposes and in compliance with applicable law.
• Follow outreach, anti-spam, privacy, and platform rules that apply to your use case, including CAN-SPAM and GDPR where relevant.
• Do not resell, redistribute, sublicense, or misuse lead outputs or the service.
• Report qualifying quality issues within 7 days if you want review under the Quality Guarantee policy.
• Do not interfere with, copy, or attempt to circumvent the service.

Data Rights And Service Use

By using Prospect Engine, you acknowledge that information you provide, along with service and usage data we collect, may be used to operate, maintain, and improve the service.

• Process and fulfill runs, exports, syncs, support, billing, and account services.
• Improve lead generation, verification, and service quality.
• Train, test, and optimize verification systems, operational workflows, and related product systems.
• Develop new features, products, and service improvements.
• Aggregate and anonymize usage patterns for product and service improvement.
• Evaluate new data sources, verification methods, and prospecting approaches.

You grant Prospect Engine a perpetual, irrevocable, royalty-free, worldwide license to use, process, analyze, aggregate, anonymize, and incorporate that information for product development, service improvement, research, testing, and related business purposes tied to operating and improving the service. Lead outputs you purchase remain available for your business use, subject to these Terms and applicable law.

Refunds, Replacements, And Credits

• Payments are generally non-refundable once service delivery has begun or lead outputs have been made available.
• Qualifying quality issues reported within 7 days may be reviewed for replacement or credit under the Quality Guarantee policy.
• Abuse of the replacement or credit process may lead to account suspension or termination.

No Outcome Guarantees And Limitation Of Liability

Prospect Engine is provided on an as-is and as-available basis, to the maximum extent permitted by law. We do not guarantee:

• Lead conversion rates, meetings, revenue, or other business outcomes.
• Perfect accuracy for every data point.
• Uninterrupted or error-free service.

To the maximum extent permitted by law, Prospect Engine and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenues, lost data, lost goodwill, or other intangible losses arising from or related to your use of the service.

Our total liability for claims related to the service will not exceed the amount you paid to Prospect Engine in the 90 days before the event giving rise to the claim.

Indemnification

You agree to indemnify and hold Prospect Engine harmless from claims, damages, losses, liabilities, and expenses arising from your misuse of the service, your violation of applicable law, your breach of these Terms, or your violation of third-party rights.

Suspension And Termination

We may suspend or terminate access if needed to protect the service or enforce these Terms, including for:

• Violation of these Terms.
• Fraudulent, abusive, or illegal activity.
• Chargebacks, non-payment, or payment disputes.
• Abuse of quality remedy policies or misuse of the service.

You may stop using the service at any time, but purchases already made remain subject to the refund and quality-remedy terms above.

Intellectual Property

Prospect Engine, including its software, systems, workflows, content, and underlying methods, is protected by intellectual property law.

• Reverse engineer or attempt to discover Prospect Engine methods, systems, or proprietary workflows.
• Copy, modify, or create derivative works from the service beyond what applicable law allows.
• Remove proprietary notices, branding, or labels.

Changes To These Terms

We may update these Terms from time to time. When we do, we will post the revised version here and update the effective date shown on this page. Continued use of the service after an update means you accept the revised Terms.

Governing Law And Severability

These Terms are governed by the laws of the State of Illinois, United States, without regard to conflict-of-law principles. Any dispute related to these Terms or the service will be resolved in the courts located in DuPage County, Illinois. If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
